Terms of service

These Terms of Service ("Terms") govern your access to and use of www.goldrocktrades.com and any related services operated by GoldRock Trades ("GoldRock," "we," or "us"). By creating an account, making a deposit, or otherwise using the Site, you agree to be bound by these Terms, our Risk Disclosures and Privacy Policy. If you do not agree, you may not use the Site.

• You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher).
• You must have full legal capacity to enter into binding contracts.
• You must not be located in, organized under the laws of, or a resident of any jurisdiction subject to comprehensive U.S. or international sanctions, nor on any U.S. government list of prohibited or restricted parties (e.g., OFAC SDN list).
• You are solely responsible for ensuring that your use of the Site complies with the laws of your jurisdiction.

To use most features of the Site you must register an account and provide accurate, complete, and current information. You may be required to complete identity-verification or source-of-funds checks at our discretion or as required by applicable law. You agree to keep your credentials confidential and to notify us immediately of any unauthorized use of your account. You are responsible for all activity that occurs under your account.

The following fees currently apply:

• Deposit processing fee: 2.5% on crypto deposits at the time of credit to your wallet.
• Performance fee: 30% on the profit portion of any transfer from your investment balance back to your wallet. Calculated pro-rata; principal is never charged.
• Network fees: Crypto withdrawals from the platform may incur on-chain network fees, which are deducted from the amount sent.

Fees are subject to change with notice posted on this page or sent to the email on file.

Deposits are credited upon confirmation on the relevant blockchain network and may be subject to processing delays outside of our control. Withdrawals from the wallet to an external crypto address require admin approval and typically process within one business day after approval. Investment-to-wallet transfers are reviewed by the GoldRock manager and may be temporarily suspended when the trading desk has open positions, as described in the Risk Disclosures.

You are solely responsible for providing accurate withdrawal destination details (chain, asset, address). Funds sent in error or to an incorrect address cannot be reversed and are not recoverable.

You agree not to use the Site to:

• Violate any applicable law, regulation, or third-party right.
• Engage in money laundering, terrorist financing, or any other illicit financial activity.
• Use the affiliate program to make false, misleading, or unsubstantiated claims about GoldRock or its performance.
• Attempt to gain unauthorized access to any portion of the Site or any other accounts, systems, or networks connected to the Site.
• Use any automated means (bots, scrapers, crawlers) to interact with the Site without our express written permission.
• Interfere with or disrupt the integrity or performance of the Site.

The Site and all content, features, and functionality (including but not limited to text, graphics, logos, code, designs, and trademarks) are owned by GoldRock or its licensors and are protected by U.S. and international intellectual-property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. No other right or license is granted.

We reserve the right to suspend or terminate your account, in whole or in part, at any time and in our sole discretion, including but not limited to cases of suspected fraud, violation of these Terms, compliance concerns, or operational requirements. In the event of termination, we will return lawful balances after any applicable holds, reviews, and fees, subject to applicable law and any pending obligations.

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOLDROCK AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITY, LOSS OF DATA, OR LOSS OF DIGITAL ASSETS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES PAID BY YOU TO GOLDROCK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

You agree to indemnify, defend, and hold harmless GoldRock and its affiliates, officers, directors, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to your use of the Site, your breach of these Terms, your violation of any applicable law, or any deposit, trade, or withdrawal you initiate.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Site that cannot be resolved through informal negotiation within sixty (60) days shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its then-current rules, with the seat of arbitration in Wilmington, Delaware. You and GoldRock each waive any right to a jury trial and any right to participate in or assert any claim as part of a class, collective, consolidated, or representative proceeding. Notwithstanding the foregoing, either party may bring an individual action in small-claims court for disputes within its jurisdictional limit.

We may amend these Terms at any time by posting a revised version on this page. Material changes will, where practicable, be communicated by email or in-product notice. Your continued use of the Site after such posting constitutes acceptance of the revised Terms.

These Terms, together with the Risk Disclosures and Privacy Policy, constitute the entire agreement between you and GoldRock regarding the Site and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign freely.
